1. INTRODUCTION
This Affiliate Marketing Agreement ("Agreement") is entered into by and between: BjörnLearn AB, a company incorporated in Sweden under company number 559502-7326, doing business as English with Rebecca ("Company" or "we"), and the individual or legal entity applying to participate in the English with Rebecca Affiliate Program ("Affiliate" or "you"). By submitting an application or participating in the Affiliate Program, you acknowledge and agree to be bound by the terms of this Agreement.

2. AFFILIATE PROGRAM APPLICATION
2.1 To join the Affiliate Program, you must complete and submit an online application form.
2.2 Applications are reviewed within 7 business days. We reserve the right to reject any application at our sole discretion if the applicant's promotional methods are deemed inappropriate, unlawful, or otherwise unsuitable.
2.3 If your application is rejected, you may not reapply using the same domain/URL or create a new application to bypass our decision.

3. AFFILIATE RESPONSIBILITIES
As an Affiliate, you agree to: Keep all account and payment details up to date. Promote our services ethically and in compliance with Swedish law. Avoid deceptive, misleading, or fraudulent marketing practices. Obtain prior written approval before modifying any banners, graphics, or content provided by us. Not engage in self-referral (e.g., purchasing through your own affiliate link). Not impersonate English with Rebecca or use black-hat SEO techniques. Not promote violence, discrimination, or any form of illegal content. Violating these responsibilities may result in immediate termination of your affiliate account and forfeiture of commissions.

4. AFFILIATE LINK & TRACKING
4.1 We provide you with a unique tracking link to track referrals.
4.2 Cookie Duration: Affiliate tracking cookies last for 30 days. If a customer completes a purchase within this period, you will receive a commission.
4.3 If a user has a pre-existing affiliate cookie, it will be replaced with the most recent one. If cookies are deleted, we are not responsible for lost tracking.

5. COMMISSION & PAYMENT TERMS
5.1 Commission Rate: Affiliates earn 30% commission on net sales (excluding VAT, discounts, refunds, and chargebacks).
5.2 Payout Schedule: Payments are made monthly, provided the Affiliate has earned at least €30 in commissions.
5.3 Payment Methods: Payments are processed via PayPal.
5.4 Refunds & Chargebacks: If a sale is refunded within 30 days, no commission is paid. If a chargeback occurs, the commission will be deducted from future payouts.
5.5 Installment Payments: If a customer purchases through an installment plan, affiliate commissions will only be paid after the first two months of the installment period.
5.6 Inactive Accounts: If your affiliate account has no new sales for 1 year, we may deactivate your account.

6. ADVERTISING & BRAND USAGE
6.1 Only promotional materials approved by us may be used.
6.2 You are granted a non-exclusive, limited, and non-transferable license to use our marketing assets.
6.3 Prohibited Advertising Methods: Using unauthorised spam techniques. Bidding on "English with Rebecca" or similar trademarks in paid ads without approval. Offering unauthorised discounts or incentives. Using copyrighted or misleading content. Running pop-ups, forced clicks, or cookie stuffing techniques.
6.4 We reserve the right to determine whether your promotional activities violate this Agreement.

7. DATA PROTECTION & PRIVACY
7.1 You must comply with GDPR and Swedish Data Protection Act (Dataskyddslagen).
7.2 We process affiliate personal data per our Privacy Policy, which includes account details, contact information, and payment records.

8. TERM & TERMINATION
8.1 This Agreement remains in effect until terminated by either party.
8.2 Either party may terminate this Agreement with 7 days' written notice.
8.3 We may immediately terminate your account if you breach this Agreement. In such cases, all unpaid commissions will be forfeited.
8.4 Upon termination, you must remove all our branding and marketing materials from your platforms within 5 business days.

9. INDEMNITY
You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from your participation in the Affiliate Program, including legal fees and expenses.

10. DISCLAIMERS & LIMITATION OF LIABILITY
10.1 We do not guarantee uninterrupted operation of our website or tracking system.
10.2 Our liability under this Agreement will not exceed the total commissions paid to you.
10.3 We are not responsible for lost revenue due to tracking errors, customer cancellations, or technical failures.

11. GOVERNING LAW & DISPUTE RESOLUTION
11.1 This Agreement shall be governed by Swedish law.
11.2 In the event of a dispute, the parties shall first attempt to resolve the matter amicably through direct communication.
11.3 If no amicable resolution is reached, the dispute shall be submitted to alternative dispute resolution (ADR) for Consumers, administered by the SCC Arbitration Institute, located at Regeringsgatan 29, SE-111 53 Stockholm, Sweden (https://sccarbitrationinstitute.se/en).

12. CHANGES TO THIS AGREEMENT
12.1 We reserve the right to update this Agreement at any time. Changes take effect 14 days after notice is provided.
12.2 Continued participation in the Affiliate Program after updates constitutes acceptance of the new terms.

13. ASSIGNABILITY
You may not assign this Agreement without our written consent. We may assign this Agreement within our corporate group without restriction.

14. NON-WAIVER & SEVERABILITY
14.1 Failure to enforce any provision of this Agreement does not waive our right to enforce it later.
14.2 If any part of this Agreement is found invalid, the remaining sections remain in effect.
